Director's interests in ordinary shares

Mr Charles Bailey, non-Executive Director of St. James's Place Capital plc ("SJPC") has today notified SJPC that he purchased 12,000 SJPC ordinary shares of 15p each at a price of 83.5p each on 24 February 2003.

Following the above transaction, Mr Bailey's interests in ordinary shares of SJPC are as follows:
